activities over these joint ventures

The Group through its non-wholly owned subsidiaries holds more than 50% interests in these joint ventures. These joint
ventures are considered as subsidiary undertakings under the Hong Kong Companies Ordinance (Cap.622). However, under
the respective contractual arrangements, the Group does not control these joint ventures as the decisions about relevant
activities require the unanimous consent of the parties sharing the control
