As the Board of Directors of the Company is independent of the boards of the above-mentioned entities and none of
the above Directors can control the Board of the Company, the Group is therefore capable of carrying on its businesses
independently of, and at arm’s length from the businesses of these entities.
MANAGEMENT CONTRACTS
No contracts concerning the management and administration of the whole or any substantial part of the business of the
Company were entered into or existed during the year.
DIRECTORS’ RIGHTS TO ACQUIRE SHARES OR DEBENTURES
Save as disclosed under the section headed “Share Option Schemes” below, at no time during the year was the
Company or any of its subsidiaries a party to any arrangements to enable the Directors of the Company or chief
executives or any of their spouse or children under the age of 18 to acquire benefits by means of the acquisition of
shares in, or debentures of, the Company or any other body corporate.
