(B) Long position in underlying shares – share options
During the year ended 30 June 2015, certain Directors of the Company have interest in share options to subscribe
for shares in the Company and certain of its subsidiaries. Details of such interests and summaries of share option
schemes of the Company and its subsidiaries are shown below.
Share Option Scheme of the Company
On 24 November 2006, the Company adopted a share option scheme (the “Scheme”) and certain rules of such
scheme were amended on 13 March 2012. Under the Scheme, the Directors of the Company may at their
discretion grant options to any eligible participant (as explained hereinafter) to subscribe for shares in the Company.
Summary of the Scheme disclosed in accordance with the Listing Rules is as follows:
The Scheme
Purpose of the scheme
To reward directors and employees of the Group for past service or
performance, to provide incentive, motivation or reward to eligible
participants for increasing performance or making contribution to
the Group, to attract and retain persons of right caliber with the
necessary experience to work for or make contribution to the
Group, to foster a sense of corporate identity and to allow the
eligible participants to enjoy the results of the Company attained
through their relationship, efforts and/or contribution.
Participants of the scheme
Eligible participant may be a person or an entity belonging to any of
the following classes:
(i) any eligible employee;
(ii) any non-executive director (including independent non-
executive director) of the Company or any invested entity of
the Group (the “Invested Entity”);
(iii) any person seconded or nominated by the Group to represent
the Group’s interest in any of the Invested Entity or any other
company or organisation;
(iv) any supplier of goods or services to any member of the Group
or any Invested Entity;
(v) any customer of any member of the Group or any Invested
Entity;
